All site content (text and multimedia) will be the sole responsibility of the client to provide to True Value Infosoft. Such should be provided prior to commencing the work.

Client is solely responsible to take proper back-up of all content on their site prior to letting True Value Infosoft undertake the required course of action. Any loss or damage to existing data shall not be a responsibility of True Value Infosoft under any circumstances.

The Contract does not hold True Value Infosoft responsible for any data entry, web hosting or custom artwork/graphics related tasks unless otherwise specifically mentioned, paid for and agreed to by both parties. Any artwork, images, or text supplied and/or designed by True Value Infosoft on behalf of the client will remain the property of True Value Infosoft and/or its suppliers unless otherwise agreed.

While True Value Infosoft will do its best to achieve all deliveries within the estimated time, there may at times be the need to extend or adjust timelines due to unavoidable situations such as deployment issues, dependencies, 3rd-Party support, development bottlenecks, resource unavailability, or communication delays.

True Value Infosoft will provide the Client an opportunity to review the appearance and content of the website during design and once completed. True Value Infosoft shall wait 7 days for feedback. If the client does not reply within this period, the material will be deemed automatically accepted and approved.

The Client retains copyright to data, files and graphic logos provided by the Client and grants True Value Infosoft the right to publish and use such material. The Client must obtain permission and rights to use any third-party copyrighted information and agrees to indemnify True Value Infosoft from any claims resulting from the Client's failure to obtain proper permissions.

True Value Infosoft will not accept responsibility for any alterations caused by the Client or a third party to the Client's pages/website once installed/deployed. True Value Infosoft may require a one-off Web Development charge before resolving any issues that arise from such alterations.

True Value Infosoft accepts payments by cheque, cash or bank transfers (we reserve the right to decline any payment form without notice). True Value Infosoft also reserves the right to withdraw payment methods or vary prices without prior notice.

A cancellation fee may be charged if the Customer cancels the Service prior to completion. The fee will be equal to the value of work completed at the point of cancellation.

Non-payment of cancellation fees and/or overdue amounts will result in legal action where necessary.

As the site launches, we offer free support for the first month. After one month, we charge according to various price packages best-suited to the client's requirements. Support scope includes bug fixing and email support only — it excludes issues related to site architecture, rule changes, and add-ons/enhancements.

Any 3rd-Party support, product or service requiring licensing, payment, or copyright shall be the sole responsibility of the client, or will be procured by True Value Infosoft on pre-payment. Fees are exclusive of out-of-pocket expenses charged by third-party products/services.

No guarantees or warranties shall be provided by True Value Infosoft for the accuracy or performance of any 3rd-Party product or service.

Any upgrade to a 3rd-Party product/service used in the project shall not be part of scope at True Value Infosoft. Such will be addressed per feasibility and may require revision of price and timeline.

Any additional features not envisaged in the scope of work will be handled through a Change Management process and billed additionally. Scope creep after wireframe sign-off will be billed additionally and will increase delivery timelines and costs.

Most minor tweaks and re-work are normally completed as part of service. However, if this is being abused, we will document such work and bill additionally at business rates ranging from US $15 to $20 per hour.

Some changes are classified as enhancements/add-ons to the system and become chargeable. We will advise you before we start work on any such items.

Any re-work, change or tweak requested by the client post approval or after progression to the next project stage shall be treated as add-on work and billed additionally.

The client must pay fees charged by True Value Infosoft without any deductions, discounts or debt settlement by the agreed due dates.

True Value Infosoft will use reasonable skill and care in providing the Service. However, we make no representation and exclude any warranty, express or implied, as to the availability, quality, accuracy, timeliness, completeness, performance or fitness of the Service.

True Value Infosoft excludes itself, its employees and agents from all and any liability for loss or damage caused by any inaccuracy, omission, delay or error in the production of the website, or loss/damage to clients' artwork, photos, or data/content supplied for the site.

Except in the event of death or personal injury caused by our negligent acts or omissions, we shall not be liable for any damages in contract, tort or otherwise — including loss of profit, loss or damage to property, or claims made by third parties.

True Value Infosoft cannot make guarantees of service on behalf of third-party organizations and will not be held liable for the failure of any service provided by third parties.

The project will involve various stages. Work for the next stage will only commence after receiving sign-off and relevant payments for the previous stage.

On completion, the website will be uploaded to the Customer area of True Value Infosoft's server for approval. Upon client approval, the website will be uploaded to the destination server. True Value Infosoft reserves the right to delay uploading until full payment is received.

All code and material developed will be transferred post completion and after sign-offs. Code ownership will reside with the client after final payments.

True Value Infosoft holds the right to publish and use completed work as references for potential clients. If the client requires this to be withheld, they must notify True Value Infosoft in advance and request written approval.
